Terms of Service

Welcome to ClipSpeedAI. By accessing or using our website at clipspeed.ai and the ClipSpeedAI application (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Description of Service

ClipSpeedAI is an AI-powered video clipping platform that processes YouTube videos and user-uploaded content to generate short-form viral clips with automated captions, reframing, and viral scoring. The Service includes video processing, AI analysis, clip generation, and related features.

2. Account Registration

To use the Service, you must create an account using Google OAuth or email/password. You are responsible for maintaining the security of your account credentials. You must provide accurate information during registration. One account per person — duplicate or fraudulent accounts will be terminated.

3. Credits & Billing

Credit System

• 1 credit = 1 minute of source video processed
• Free accounts receive 30 minutes of processing credit upon verified signup (one-time)
• Paid plans include monthly credit allocations that refresh each billing cycle
• Unused credits do not roll over to the next billing period
• Credits are non-refundable and non-transferable

Subscriptions

• Paid subscriptions are billed monthly or annually via Stripe
• You may cancel your subscription at any time from your account settings or Stripe billing portal
• Cancellation takes effect at the end of the current billing period
• No partial refunds for unused portions of a billing period
• Refunds on first-time subscriptions are offered on a case-by-case basis within 7 days of the charge (consistent with our Legal page policy)

Price Changes

We reserve the right to change pricing with 30 days advance notice to active subscribers. Price changes do not affect your current billing period.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You must NOT:

• Upload or process content you do not have the right to use
• Use the Service to harass, defame, or infringe on others' rights
• Attempt to reverse-engineer, decompile, or hack the Service
• Use automated tools to abuse, scrape, or overload the Service
• Create multiple free accounts to circumvent credit limits
• Resell access to the Service without written permission
• Use the Service to generate content that is illegal, harmful, or violates platform policies

5. Content, Copyright & User Responsibility

ClipSpeedAI Is a Tool

ClipSpeedAI is a software tool that provides video processing capabilities. We do not create, curate, endorse, or distribute user-generated content. ClipSpeedAI is comparable to video editing software — we provide the technology, but YOU are solely responsible for how you use it and what content you create, distribute, or monetize using our tools.

Your Content, Your Responsibility

You retain full ownership of any content you upload or generate using the Service. You are solely and entirely responsible for:

• Ensuring you have the legal right to process any content you submit
• Compliance with all applicable copyright, intellectual property, and content laws
• How you use, distribute, publish, or monetize any clips generated by the Service
• Compliance with the terms of service of any platform where you post clips (YouTube, TikTok, Twitter/X, Instagram, Kick, etc.)
• Any claims, disputes, or legal actions arising from your use of generated clips

No Liability for User Content

ClipSpeedAI assumes no responsibility or liability whatsoever for any content processed, generated, or distributed by users of the Service. By using the Service, you acknowledge that you are making your own independent decisions about content usage, and you agree to indemnify and hold harmless ClipSpeedAI, its owners, employees, and affiliates from any claims, damages, losses, or legal fees arising from your use of generated content.

Fair Use & Copyright

Many users process third-party content under fair use principles (commentary, criticism, education, news reporting). ClipSpeedAI does not provide legal advice and makes no determination about whether any specific use constitutes fair use. If you have questions about copyright or fair use, consult a qualified attorney. We recommend:

• Adding commentary, reaction, or transformative value to clips
• Respecting creator wishes regarding clipping their content
• Following each platform's content and monetization policies
• Consulting a legal professional for specific copyright questions

DMCA Takedown Requests

We respect intellectual property rights. If you believe content stored on our Service infringes your copyright, contact us at clipspeedaisupport@gmail.com with a DMCA takedown notice. We will process valid requests promptly. Note: ClipSpeedAI does not host or distribute user clips publicly — clips are stored privately in each user's account.

6. Referral & Affiliate Program

• Referral credits (25 credits) are awarded when a referred user signs up AND processes their first video
• Commission rates: Starter 25% (0-9 referrals), Silver 30% (10-25), Gold 35% (26-49), Diamond 40% (50+)
• Commissions are calculated on the net payment amount (after Stripe fees)
• Commissions are paid monthly via Stripe
• Self-referrals, fake accounts, and fraudulent activity will result in termination and forfeiture of all commissions
• We reserve the right to modify commission rates with 30 days notice

7. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We are not liable for downtime caused by: third-party services (YouTube, OpenAI, Stripe, Cloudflare), force majeure events, scheduled maintenance (with advance notice), or circumstances beyond our reasonable control.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPSPEEDAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, REVENUE, OR BUSINESS OPPORTUNITIES, ARISING OUT OF YOUR USE OF THE SERVICE.

WITHOUT LIMITING THE FOREGOING, CLIPSPEEDAI IS NOT LIABLE FOR:

• Any copyright claims, strikes, or legal actions resulting from content you process or distribute
• Any platform bans, demonetization, or account actions on third-party services
• Any revenue or income loss related to content created using our tools
• Any actions taken by content creators, rights holders, or platforms against you
• The accuracy of AI-generated viral scores, analytics, or predictions

Our total liability for any claim shall not exceed the amount you paid us in the 3 months preceding the claim. You acknowledge that ClipSpeedAI is a tool provider and you assume all risk associated with how you use the content generated by the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not guarantee that: AI-generated viral scores will predict actual performance, clips will go viral, the Service will meet your specific requirements, or processing will be error-free.

10. Termination

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or abuse the Service. You may delete your account at any time. Upon termination, your right to use the Service ceases immediately, and we may delete your data after 30 days.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in San Francisco, California.
